These general terms govern the inquiry process, quotation, conclusion and performance of contracts for the manufacture of machine parts between MIKRO-PRO d.o.o. (the "Contractor") and the customer (a legal or natural person ordering the service).

These terms apply to all inquiries, quotations and orders for the manufacture of machine parts between the Contractor and the customer, unless otherwise agreed in writing in an individual case. Conflicting or differing terms of the customer do not apply unless explicitly confirmed in writing.
Quotations are non-binding until written order confirmation by the Contractor. Validity is stated in each quotation; in the absence of a specific term it is 30 days from issue. By placing an order the customer accepts these terms. Changes after order confirmation require the written consent of both parties and may affect price and lead time.
Prices in quotations are quoted in euros (EUR) excluding VAT, unless otherwise indicated. VAT is added at the applicable rate (the standard rate in Slovenia is 22 %). Payment is due within 30 days of invoice date, unless otherwise agreed in the quotation. Statutory default interest applies in case of late payment.
The lead time is stated in the order confirmation and runs from the date of confirmation or, where later, from the date we receive all necessary technical specifications, drawings and materials from the customer. By arrangement we take care of delivery of finished parts to the customer's warehouse or to an agreed location within the EU; delivery costs are borne by the customer unless otherwise agreed in writing. Risk of loss or damage passes to the customer on handover to the carrier (Incoterms FCA Ruše).
We inspect all manufactured parts under our quality management system, certified to ISO 9001:2015 (certificate scope: CNC turning and CNC milling). The customer must inspect goods on receipt and notify visible defects within 8 days; hidden defects must be notified promptly upon discovery, and at the latest within 6 months of delivery. Send complaints in writing to info@mikro-pro.si with a description of the defect and photographic documentation. The warranty period for material and workmanship defects is 24 months, unless otherwise agreed.
Our liability is limited to the value of the specific order. We are not liable for indirect damages, loss of profit, missed savings or damages arising from production interruptions at the customer. This limitation does not apply in cases of intent or gross negligence or for statutory personal injury liability.
Technical drawings, specifications and business information provided by the customer are treated as confidential and not disclosed to third parties, except where necessary to perform the order (e.g. to materials suppliers, who are likewise bound by confidentiality). All intellectual property rights in the customer's drawings and specifications remain with the customer.
These terms and all disputes arising from them are governed by Slovenian law; the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. The parties shall seek an amicable resolution; failing that, the materially competent court in Maribor (Slovenia) has exclusive jurisdiction.
These terms apply from the date of publication on the website and to all orders placed after that date. Changes are published on the same website; for already confirmed orders the terms in force at the time of order confirmation apply.
